Agreement to Terms

These Terms apply to your use of Hook Generator Pro and related services, including our Chrome extension, website, and any associated applications ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

Our Privacy Policy explains how we collect and use personal information. Our Fair Use Policy explains usage guidelines for our Services. These documents form part of these Terms.

Description of Services

Hook Generator Pro is an AI-powered tool that helps users generate engaging hooks and content for social media platforms, particularly LinkedIn. The Services include:

• A Chrome browser extension for generating content hooks
• AI-powered text generation capabilities
• User account management and preferences
• Free and paid subscription tiers

Service Delivery: Our Services are delivered electronically and are available immediately upon successful registration or subscription purchase. No physical goods are shipped.

Third-Party AI Services

Our Services utilize third-party artificial intelligence providers to generate Output. Your use of Output is also subject to the terms and policies of such third-party providers. We are not responsible for the performance, accuracy, or availability of third-party AI services. We reserve the right to change AI providers at any time without notice.

Using Our Services

Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

Registration

You must provide accurate, current, and complete information when creating an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

Prohibited Conduct

You may not:

• Use the Services in violation of any applicable laws or regulations
• Use the Services in a way that infringes any third party's intellectual property or other rights
• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Services
• Automatically or programmatically extract data or Output using bots, scripts, or other automated means
• Resell, redistribute, or sublicense access to the Services or Output to third parties
• Use Output to develop AI models that compete with our Services
• Share account credentials or allow multiple users to access one account
• Interfere with or circumvent any rate limits, restrictions, or security measures
• Generate content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation

Content

Your Content

You may provide input to the Services ("Input"), and receive output from the Services based on the Input ("Output"). Input and Output are collectively "Content." You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to our Services.

Ownership of Content

As between you and Shift Mind Labs LLC, and to the extent permitted by applicable law:

• You retain your ownership rights in Input
• You own the Output generated for you

We hereby assign to you all our right, title, and interest, if any, in and to Output.

Similarity of Content

Due to the nature of our Services and artificial intelligence generally, Output may not be unique and other users may receive similar output from our Services. Our assignment above does not extend to other users' output or to any claims of exclusivity.

Accuracy

Artificial intelligence is a rapidly evolving field. Output may not always be accurate, complete, or suitable for your intended purpose. Output should not be relied upon as the sole source of truth or professional advice. You are responsible for reviewing, verifying, and editing any Output before use.

Paid Services and Billing

Subscription Plans

Shift Mind Labs LLC offers both free and paid subscription plans. Details of current plans and pricing are available on our website.

Payment Processing

All payments are processed securely by Stripe, a third-party payment processor. By subscribing to a paid plan, you agree to Stripe's Terms of Service. We accept major credit cards and other payment methods supported by Stripe.

Billing

If you purchase a subscription:

• You agree to pay all applicable fees at the prices in effect when the charges are incurred
• Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan)
• Subscriptions automatically renew unless cancelled before the renewal date
• All fees are quoted and charged in the currency displayed at checkout

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Upon cancellation:

• Your subscription will remain active until the end of your current billing period
• You will not be charged for subsequent billing periods
• You will retain access to paid features until your current period expires

Refund Policy

Price Changes

Shift Mind Labs LLC reserves the right to change subscription prices. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Services after a price change constitutes acceptance of the new pricing.

Taxes

Prices may be exclusive of applicable taxes. You are responsible for paying any applicable taxes, unless stated otherwise.

Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other materials (excluding your Content), are owned by or licensed to Shift Mind Labs LLC and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our express written permission.

Termination

Shift Mind Labs LLC may suspend or terminate your access to the Services if:

• You breach these Terms, our Fair Use Policy, or any other applicable policies
• We are required to do so to comply with applicable law
• Your use could cause risk or harm to us, our Services, other users, or third parties
• Your account has been inactive for an extended period

We will make reasonable efforts to notify you in advance of termination unless:

• You have materially breached these Terms
• Doing so would expose us to legal liability
• Doing so would compromise our ability to provide Services to other users

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Limitation of Liability

Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Shift Mind Labs LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Services
• Your Content or any use thereof
• Your violation of these Terms
• Your violation of any third-party rights
• Any dispute between you and a third party relating to your use of the Services

Dispute Resolution

Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will endeavor to resolve disputes through good-faith negotiation within 30 days of receiving your written notice of dispute.

Binding Arbitration

If informal resolution is unsuccessful within 30 days, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Sheridan, Wyoming, United States, or may be conducted remotely by video conference at the election of either party. The language of arbitration shall be English. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver

Time Limitation on Claims

Any claim arising out of or relating to these Terms or your use of the Services must be filed within one (1) year after the cause of action arises, or such claim shall be permanently barred. This limitation applies regardless of whether the claim sounds in contract, tort, statute, or otherwise.

Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm pending the outcome of arbitration.

Governing Law and Jurisdiction

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles.

Jurisdiction. For any matters not subject to arbitration as set forth above, all claims arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and both parties hereby submit to the exclusive personal jurisdiction of such courts.

General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Fair Use Policy, constitute the entire agreement between you and Shift Mind Labs LLC regarding the Services and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce such provision or any other provision in the future. Any waiver must be in writing and signed by an authorized representative of Shift Mind Labs LLC.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this provision shall be null and void.

Force Majeure: Shift Mind Labs LLC shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet service disruptions.

Headings: The headings in these Terms are for convenience only and shall not affect their interpretation.

Electronic Communications: By using our Services, you consent to receive communications from us electronically. We may communicate with you by email or by posting notices on our website or within the Services. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

Changes to Terms

Shift Mind Labs LLC may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on our website with a new "Last Updated" date
• Sending an email notification for significant changes
• Displaying a notice within the Services

Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services before the changes take effect.
